1. Acceptance of Terms

By creating an account or accessing NexyFlow (the "Service"), operated by Nexysys ("we", "us", or "the Company"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must not use the Service.

2. Account Registration

You must register with a valid email address. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account. You must provide accurate registration information and notify us promptly of any unauthorized access. We reserve the right to suspend or terminate accounts with false or misleading information.

3. Service Description

NexyFlow is a cloud-based groupware and collaboration platform providing messaging, file storage, task management, calendar, approval workflows, meeting room booking, and other productivity tools. Features and availability may vary by subscription plan. We may update, modify, or discontinue features with reasonable notice. We do not guarantee uninterrupted or error-free operation.

4. Subscription Plans and Payment

NexyFlow offers Free, Lite, Business, Professional (Pro), and Enterprise plans. Plan names and limits on the Pricing page are controlling. Paid plans are billed monthly in advance unless otherwise stated. Refund terms are governed by Section 5 below. Prices may change with 30 days' prior notice. Failure to pay may result in downgrade to the Free plan or suspension. Cancellations take effect at the end of the current billing period.

Certain features (including higher tiers marketed as "unlimited" AI) remain subject to a Fair Use Policy (FUP): we may apply rate limits, caps, or other technical restrictions if usage is abusive, anomalous, or risks service stability, as described on the Pricing page and in-product notices.

5. Free Trial, Refunds, and Cancellation

① Free Trial

A 7-day free trial begins when you register a payment card. No charge is made during the trial. You can cancel anytime during the trial and your card will not be billed. Recurring billing begins the day after the trial ends; a reminder email is sent 1 day before the trial ends.

② Post-payment Refund

You are eligible for a full refund within 7 days of the first charge ONLY if you have not logged in or used the Service even once. Once you log in or use the Service after payment, the right of withdrawal is waived because the digital content is deemed to have been delivered (Korean E-Commerce Act §17(3)-2 and equivalent digital-content exceptions in other jurisdictions). We disclose this condition explicitly at checkout and obtain your consent before processing payment.

③ Mid-term Cancellation of an Annual Plan

• If you cancel an annual plan mid-term, we deduct the standard monthly rate × months used from the paid amount, then refund 50% of the remaining balance (50% early-termination fee).
• Example: A $400/year plan ($40/mo × 12 with 16% discount) cancelled after 4 months: refund = ($400 − $40 × 4) × 50% = ($400 − $160) × 50% = $120.
• Monthly plans end automatically at the next billing cycle; no partial refund is provided.

④ How to Request a Refund & Exclusions

Submit refund requests at nexyflow@nexysys.com or through the in-product Billing page. We process refunds within 5 business days of receipt.

• Usage-based charges already consumed (e.g., AI token overage) are non-refundable.
• Accounts suspended or terminated for Terms violations are non-refundable.
• Refunds may be restricted in cases falling under the right-of-withdrawal exceptions in applicable consumer protection law.

If any provision of these Terms conflicts with mandatory consumer-protection law, the law prevails. The 50% early-termination fee is intended to remain within the reasonable bounds set by applicable law (e.g., Korean Standard Contract Act §8) and you affirm your consent to this fee at checkout.

6. Your Data

You retain all ownership rights to data you upload, create, or transmit through the Service ("Your Data"). You grant us a limited, non-exclusive license to host, store, process, and display Your Data solely to provide and improve the Service. We will not sell or share Your Data with third parties except as described in our Privacy Policy or as required by law.

7. Privacy

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.

8. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload malicious code or harmful content; (c) attempt unauthorized access to other accounts or systems; (d) interfere with or disrupt Service infrastructure; (e) resell or redistribute the Service without written authorization; (f) send unsolicited bulk communications; or (g) violate any third-party rights.

9. Intellectual Property

All intellectual property rights in the Service, including software, design, trademarks, and documentation, are owned by Nexysys or its licensors. You retain ownership of Your Data. Feedback or suggestions you provide may be used by us without obligation.

10. Termination

You may terminate your account at any time through account settings. We may suspend or terminate access for Terms violations, non-payment, or if your use poses a risk to the Service or other users. Upon termination, your right to access ceases immediately. We retain Your Data for 30 days before permanent deletion and will make commercially reasonable efforts to allow data export.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXYSYS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

12. Indemnification

You agree to indemnify and hold harmless Nexysys from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Modifications

We may revise these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea. Disputes shall be submitted to the exclusive jurisdiction of the Seoul Central District Court. Both parties agree to attempt good-faith resolution for at least 30 days before initiating formal proceedings.
